Non-Disclosure Agreement

Confidentiality and ownership of Intellectual Property

From time to time you will be asked to contribute ideas and strategic thinking to briefs set by clients (“Client(s)”) on the Genie platform. You agree that the concepts, formats, slogans, plans, reports, product information, know-how, designs, inventions and other materials and ideas which are presented to you as part of the briefing process, as well as information disclosed about Clients’ business and affairs (if you are engaged by them), such as information relating to their clients, employees, officers, operations, processes, charging structures and billing arrangements, (collectively called the “Information”) is strictly confidential. 

 


You agree that you will only use the Information for the sole purpose of considering the potential engagement by the Client.  You also agree that you will not disclose any of the Information to any other person.    You will return (or at the option of the Client, destroy) all Information in your possession on request. 


Your obligations of confidentiality shall not apply to any Information which is in the public domain (other than through any breach of confidentiality by you), or which was in your possession prior to the date of disclosure of the Information, or which is required by law to be disclosed by you. 


For the avoidance of doubt, the Client retains all intellectual property rights in the materials and Information that are disclosed to you as part of your engagement with the Client.  In the event that you create any creative materials, ideas, concepts, slogans, artwork, copy, information, data, or other materials (“Materials”) in the course of pitching your ideas to the Client or in the course of your engagement with the Client, then you agree that such Materials will be owned by the Client and that you will assign the intellectual property rights in such Materials (and will enter into any further contracts with the Client as may be necessary to record such an assignment).


The terms of this agreement as to confidentiality and ownership of IP shall be governed by and construed in all respects in accordance with English law.
